Our Client in the Utilities Sector is seeking to fill the position of Compliance Manager. The Compliance Manager reports to the Board of Directors. The Compliance Officer will oversee the company's compliance program, functioning as an independent and objective body that reviews and evaluates compliance issues/concerns within the organisation. The position monitors, advises, and reports on compliance with the rules and regulations of regulatory agencies, company policies and procedures, and behaviour that meets the company's Standards of Conduct. KEY RESPONSIBILITIES: Creates and maintains the Corporate Compliance dashboard and advises Management on all approaching potential variances and works with management to assess the impact of possible solutions Develops, initiates, maintains, and revises policies and procedures for the general operation of the Compliance Program and its related activities to prevent illegal, unethical, or improper conduct. Manages the day to day operations of the Program. Develops and periodically reviews and updates Standards of Conduct to ensure continuing applicability and relevance in providing guidance to management and employees. Collaborates with other departments to direct compliance issues to appropriate existing channels for investigation and resolution. Consults with the Corporate Attorneys as needed to resolve compliance/legal issues. Responds to alleged violations of rules, regulations, policies, procedures, and Standards of Conduct by evaluating or recommending the initiation of investigative procedures. Develops and oversees a system for uniform handling of violations reported or discovered. Acts as an independent review and reporting body to ensure that compliance issues/concerns within the organisation are being appropriately evaluated for onward reporting with recommended policy and procedure improvements. Monitors, and as necessary, coordinated compliance activities of other departments to remain abreast of the status of all compliance activities and to identify trends. Provides reports on a regular basis, and as directed or requested, to keep the Board of Directors and Senior Management informed of the operation and progress of compliance efforts. Ensures proper reporting of violations or potential violations to duly authorised enforcement agencies as appropriate and/or required. Institutes and maintains an effective compliance communication program for the organisation, including promoting, heightened awareness of Standards of Conduct, and understanding of new and existing compliance issues and related policies and procedures. Works with the HR Department and others as appropriate to develop an effective compliance training program, including appropriate introductory training for new employees as well as ongoing training for all employees and managers. Monitors the performance of the Compliance Program and related activities on a continuing basis, taking appropriate steps to improve its effectiveness. Assist the Finance Department in coordinating internal compliance review and monitoring activities. Investigate complaints and coordinate action plans with other departments Develop policies and programs that encourage staff to report suspected fraud or impropriety in a confidential manner without fear of retaliation Access records relevant to compliance monitoring activities and report findings Conduct unannounced mock surveys, inspections, audits, and investigations periodically to assess staff readiness and to specifically identify where corrective actions are needed Perform other related duties to support the achievement of the company's goals and objectives. QUALIFICATIONS & EXPERIENCE: An appropriate first degree (Finance or Engineering) from a recognised institution Post graduate degree in Business Management and Administration or equivalent combination of accreditation and training Knowledge of requisite laws, regulations, national and international standards and business principles as they relate to the company and the energy sector. A minimum of eight (8) years' management experience in the field of law, governance, risk management, audit, and/or compliance Recognised professional certification in Law and Corporate Governance will be an asset Familiarity with operational, financial, quality assurance, and human resource procedures and regulations.
