The M&A and Commercial Finance organisation is responsible for delivery of the full suite of the finance function for all New Business Development, M&A and Structured Finance and Portfolio activities in RDS. The critical success factors of this team are deep professionalism, flexible deployment of skills and experience, and business intimacy.
As Manager, M&A and Commercial Finance, you will be responsible as Finance Lead for transactions in the East and in particular China in both the Upstream and Downstream and in addition have one or more additional responsibilities in the global FTM Organisation.
Accountabilities
Deals and Project Support and Advice
As Finance Lead of M&A transactions, fully responsible for delivery of full suite of Finance responsibilities, including, but not limited to, managing the finance team on the project, providing business critical finance challenge and support from an early stage, ensuring finance sign-off on transactions, managing external service providers on the transaction (both Investment Banks and transaction service providers), leading negotiations and regular interacting with the Finance representative on the Decision Review Board (DRB).
Provide finance expertise and advice to New Business Development projects
Provide finance expertise to (re-) structuring and (re-) financing of Operating Units or Ventures
Review the results of project economics to ensure consistency in assumptions used, standardization of methodology, reasonableness of the results, etc. Provide financial input into project economics and undertake financial modeling where required.
Perform negotiations of financial aspects of deals. Negotiate agreements with partners, customers or other external stakeholders. Support planning, structuring and negotiating corporate and project financing transactions
Participate as Finance lead on Finance Committees and other deal / investment review teams and review boards. Participate in value assurance reviews and value based management analysis and reporting
Liaise with other Finance functional areas, including Tax, treasury, Controllers, R&I and Business Finance
Assist in the development, implementation and reporting of financial metrics and evaluations within the Project Screening and evaluation guidelines.
Arrange and organize the required internal governance approvals from Shell Holding Companies to support business requirements
Prepare finance aspects of implementation and transition to operate phase of the transaction
Provide as required, challenge and support to projects where relevant experience and skills are required. As thought leader in transactions, remain up to date with external developments and trends.

Experience and Qualifications required
Analytical aptitude and economic and financial modeling experience essential

Able to establish credibility at the relevant level with management inside and outside project teams
Self-starter with ability to work independently and bring requirements to closure
Ability to identify and coordinate additional resources as required
Team player and ability to deliver through others.
Previous experience with commercial teams is desirable
Good business acumen, combined with solid finance skills and experience. Good understanding of business preferred
Preparedness and ability to handle periods of peak work pressure and travel
Ability to work across boundaries
