The role of In-House Legal Counsel will oversee the legal and regulatory aspects of the group, whilst supporting the commercial-side of the business within Australia, the United States and where required other regions where the group operates. Our ideal In-House Legal Counsel will be commercially savvy, highly organised, proactive and resourceful. You will be highly interested in the technology space, an excellent communicator who is able to work in a fast paced, team environment. We are looking for someone flexible with great interpersonal skills, who can prioritise business needs in conjunction with our US stakeholders.

A typical day for you may look like this…

· Draft, review and negotiate IT and commercial contracts
· Advise on legal risks associated with relevant contracts
· Supporting the business with customer support requests and enquiries, and department specific legal issues
· Provide training to the commercial teams in understanding the legal position and risk exposure in sales contracts
· Provide training to relevant departments and rolling out compliance initiatives across the company
· Stay abreast of legal developments affecting the company, its customers, and industries and synthesise the information to incorporate it into company's transactional practices
· Represent company's interests and interface directly with client counsel and negotiating teams
· Assist in developing internal guidelines, toolkits, and packaged knowledge on various legal and business issues
· Assist in managing IP issues and IP portfolio

The essentials…

· Minimum of 3 - 6 years post-admission experience, either at a top or mid-tier law firm (preferably some in-house experience through secondment) or in-house experience
· Unrestricted NSW Practising Certificate (preferred)
· Broad corporate and commercial law knowledge
· Exposure to general corporate and commercial contracts , ideally SaaS related contracts (vendor side)
· Experienced in drafting and negotiating a variety of commercial contracts including NDAs
· Experience in managing IP issues and IP portfolio (preferred)
· Understanding of ASX Listing Rules (preferable but not essential)
· Knowledge of intellectual property issues as they apply to a SaaS provider would be an added advantage
· Able to handle matters with minimal supervision, work under pressure and prioritise workload
· Able to provide commercially focused legal advice
· High level of attention to detail with solid written and communication skills
· Must be willing to work outside of core hours to support the US region when required
· This role may also require travel to our US office
